1. Acceptance
By creating an account or using the BioSonic platform ("Service"), you agree to these Terms of Service ("Terms"). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Service.
2. Definitions
- "BioSonic" means BioSonic AB, org.nr 559472-8056, Bergsundsgatan 7, 117 37 Stockholm, Sweden.
- "Service" means the BioSonic cloud platform at bat.biosonic.se and biosonic.io, including APIs and related services.
- "Customer" means you, the individual or entity using the Service.
- "Customer Data" means audio files, metadata, and other data you upload to or generate through the Service.
- "Output" means classification results, reports, and other data generated by the Service from your Customer Data.
3. Account Registration
You must provide accurate information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at hello@biosonic.se if you suspect unauthorised access.
4. Service Description
BioSonic provides AI-powered bat sound analysis, including automatic species identification, behaviour classification, and collaborative review tools. The Service processes audio recordings you upload and returns classification results. Results are probabilistic and should be reviewed by a qualified ecologist.
5. Your Data
You retain all rights to your Customer Data. You grant BioSonic a limited licence to process your Customer Data solely to provide and improve the Service, as described in these Terms and our Privacy Policy.
6. AI Model Training
By default, Customer Data (specifically, uploaded audio recordings and associated classification metadata) may be used to train, evaluate, and improve BioSonic's machine learning models. This use is essential to improving classification accuracy for all users. The trained models are owned by BioSonic.
7. Payment
BioSonic invoices customers directly by email. There is no automated card payment or payment processor. Payment terms are net 30 days from invoice date unless otherwise agreed in writing. Prices are quoted in EUR or SEK and are exclusive of VAT where applicable.
8. Free Trial
BioSonic may offer a free trial period. During the trial, you may use the Service subject to these Terms. BioSonic may modify or discontinue the free trial at any time. No payment information is required to start a trial.
9. Service Availability
BioSonic aims for high availability but does not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. Unscheduled downtime may occur. To the extent permitted by law, we are not liable for any loss resulting from service interruptions.
10. Support
Support is provided via email at hello@biosonic.se. We aim to respond to support requests within 2 business days. Enterprise support terms may be defined in a separate agreement.
11. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to any part of the Service
- Reverse-engineer, decompile, or disassemble the Service
- Upload content that infringes third-party rights
- Use automated tools to scrape or extract data from the Service beyond normal API usage
- Resell or sublicence the Service without prior written consent
12. Intellectual Property
BioSonic retains all rights in the Service, including software, models, algorithms, and documentation. These Terms do not grant you any rights to BioSonic's intellectual property except the limited right to use the Service as described herein.
13. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
14. Warranties & Disclaimers
The Service is provided "as is" and "as available." BioSonic makes no warranties, express or implied, regarding the accuracy of classification results, fitness for a particular purpose, or non-infringement. Classification results are probabilistic and should not be the sole basis for regulatory decisions.
15. Limitation of Liability
To the maximum extent permitted by law, BioSonic's total liability under these Terms shall not exceed the greater of the amount paid by you for the Service in the 12 months preceding the claim or EUR 100. BioSonic shall not be liable for indirect, incidental, consequential, or punitive damages.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable mandatory law, including liability for gross negligence, wilful misconduct, or under data protection law.
16. Indemnification
You agree to indemnify and hold BioSonic harmless from any claims arising from your use of the Service, your Customer Data, or your violation of these Terms.
17. Termination
Either party may terminate these Terms at any time by providing 30 days' written notice. BioSonic may suspend or terminate your account immediately if you breach these Terms. Upon termination, your right to use the Service ceases.
18. Data After Termination
Upon termination, you may request export of your Customer Data within 30 days. After this period, BioSonic will delete your Customer Data within 90 days, except where retention is required by law. See our Privacy Policy for details.
19. Governing Law
These Terms are governed by the laws of Sweden. Any disputes shall be resolved by the courts of Stockholm, Sweden. Nothing in these Terms limits your rights as a consumer under mandatory applicable law.
20. Changes to These Terms
BioSonic may update these Terms from time to time. Material changes will be communicated via email at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
